Description

The present 2nd edition "General Part of Commercial Law - Bills of Exchange" is a combination of the updated textbooks "E. Perakis, General Part of Commercial Law" and "N. Rokas, Bills of Exchange". The first one develops the General Part of commercial law while the second one includes the theory of Bills of Exchange. More specifically, the first part is divided into three separate sections and eleven chapters that briefly cover all the issues of the general part of commercial law. Firstly, the general theory of commercial law is analyzed, describing commercial activity as the subject of commercial law, the identity of commercial law, its relationship with civil law as well as with economic science. Then, the historical approach of commercial law and the systems of commerciality are attempted, while the sources of commercial law are presented (commercial legislation, commercial customs, European Union law, commercial arbitration, etc.). Subsequently, commercial acts and traders are developed. Within the framework of commercial acts, issues concerning land and sea trade, ways of expanding the commerciality of the act, as well as ambiguously and heterogeneously commercial acts are analyzed. A detailed analysis of the subject of commercial law, traders (natural persons, companies, small traders, craftsmen, etc.), as well as "disabled" traders, follows. Furthermore, the consequences and significance of commerciality are developed and final thoughts on the transition from the traditional concept of commercial law to a law of business are presented. Next, the enterprise and its organization are presented, shedding light on crucial issues such as the transfer of the enterprise, its lease, goodwill, and collateral in business, compulsory execution of business, as well as issues of bankruptcy law. The auxiliary persons of the commercial enterprise and the distribution systems, which are subsequently analyzed, occupy an important chapter of commercial law. Within this chapter, significant issues of commercial law are developed, such as commercial representation, commission agents, distributors, franchise agreements, etc. The accounting organization of the enterprise is a separate chapter, presenting, among other things, the books of traders, the method and duration of keeping and recording entries in them, as well as issues related to their evidentiary power. In the last chapter of this first part entitled "The organization of trade under public law - Chambers of Commerce - Commercial Register", certain issues of the organization of trade and enterprise with rules of public law are briefly presented, as well as the relationship of commercial law with tax and criminal law.

The second part of the work "General Part of Commercial Law - Bills of Exchange" is occupied by the analysis of the law of Bills of Exchange. Initially, the sources of the law of bills of exchange, their definition and conceptual elements, the incorporation of bills of exchange, the distinctions of bills of exchange, the theories of bills of exchange, the completion of the incorporation of bills of exchange, and the judicial pursuit of the incorporated right are analyzed. Subsequently, the bill of exchange is presented in detail as the main type of bill of exchange. In the third part, the negotiable instrument is analyzed in depth, while in the fourth part, the promissory note is analyzed.

The last two parts are dedicated to the fifth part on commercial bills of exchange and the sixth part on anonymous securities of the capital market
